1. Acceptance of Master Terms
By accessing or authenticating into any portal within the LIFT ecosystem—including admin.lift.business, portal.lift.business, or app.lift.business—you agree to be bound by these Master Terms and Conditions. If you represent an institutional entity, incubator, or startup enterprise, you attest that you possess authorized signatory authority.
2. Platform Roles & Authorized Permitted Use
LIFT operates as a diligence orchestration infrastructure. Platform use is categorized by distinct access domains:
- Advisory Terminal (GGAM): Authorized solely for formal due diligence evaluation, scoring index compilation, and investment committee memo preparation.
- Incubator Cohort Hub: Authorized for accelerator directors, government grant officers, and program managers monitoring founder compliance milestones.
- Startup Data Room: Authorized for venture founders and designated CFOs to submit statutory documentation, reconcile queries, and certify cap table integrity.
3. Warranty of Accuracy & Document Integrity
Parties uploading financial filings, MCA registry returns, capitalization tables, or IP documentation warrant that all submitted records are authentic, unaltered, and reflect true statutory filings. Intentional submission of falsified balance sheets, forged board resolutions, or misrepresented cap tables constitutes immediate termination of access and statutory legal referral.
4. Mutual Non-Disclosure & Fiduciary Confidentiality
All non-public proprietary materials deposited in a venture data room shall be treated as strictly Confidential Information. Users shall not capture, bypass watermarking, replicate, reverse-engineer, or transmit confidential files to unauthorized third parties outside the agreed investment syndicate scope.
5. Intellectual Property Rights & Data Ownership
The startup enterprise retains full and exclusive ownership of all uploaded corporate assets, trade secrets, software escrow repositories, and proprietary pitch documentation. LIFT and GGAM Advisory acquire no ownership, title, or patent rights by virtue of hosting or indexing materials for diligence analysis.
6. Limitation of Liability & Diligence Disclaimers
While LIFT utilizes sophisticated automated verification engines, OCR algorithms, and cross-registry validations, the calculated Diligence Index and automated AI flags are decision-support frameworks. Final capital allocation, syndication, and investment decisions remain the sole responsibility of participating Investment Committees and accredited syndicates.
7. Governing Jurisdiction & Dispute Resolution
These terms are governed by and construed under institutional commercial arbitration guidelines. Any disputes arising in connection with platform operations shall be referred to institutional arbitration in accordance with applicable rules.
